Agreement Overview

These Terms of Service ("Terms") govern your use of Vidocraft Agency digital marketing services and constitute a legally binding agreement between you ("Client") and Vidocraft Agency ("Company").

By engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services. We may update these Terms periodically, and continued use of our services constitutes acceptance of any changes.

Vidocraft Agency is a digital marketing company based in Narnaul, Haryana, specializing in helping local businesses grow their online presence through strategic social media marketing, content creation, and advertising campaigns.

Service Agreement

  • Vidocraft Agency provides digital marketing services including social media management, video production, content creation, and advertising campaigns
  • Services are provided on a monthly subscription basis as outlined in our pricing plans
  • All services are subject to availability and may require advance booking
  • We reserve the right to modify service offerings with 30 days notice
  • Custom services and add-ons may be available upon request
  • Service delivery timelines are estimates and may vary based on project complexity

Client Responsibilities

  • Provide accurate business information and access to necessary accounts
  • Respond to communications within 48 hours for optimal service delivery
  • Ensure all provided content (images, videos, text) complies with applicable laws
  • Maintain active payment method for subscription services
  • Provide feedback and approvals in a timely manner
  • Inform us of any changes to business operations or marketing goals

Payment Terms

  • All services are billed monthly in advance
  • Payment is due on the first day of each billing cycle
  • Late payments incur 2% interest per month on outstanding amounts
  • Services may be suspended for non-payment after 7 days grace period
  • Refunds are provided on a pro-rata basis for unused services
  • Ad spend is separate from service fees and billed directly to client or through us

Confidentiality

  • Both parties agree to maintain confidentiality of all business information
  • We will not share client data with third parties without explicit consent
  • Client agrees to keep our strategies and methods confidential
  • Confidentiality obligation survives termination of this agreement
  • We may use anonymized data for portfolio and marketing purposes
  • Trade secrets and proprietary information are protected indefinitely

Limitations & Disclaimers

  • We cannot guarantee specific results or ROI figures
  • Marketing performance depends on various external factors
  • Social media platform algorithms are beyond our control
  • We are not responsible for platform outages or policy changes
  • Client is responsible for product quality and customer service
  • Results may vary based on industry, competition, and market conditions

Service Level Expectations

  • Regular content posting as per agreed schedule
  • Monthly performance reports and analytics
  • Response to inquiries within 24 business hours
  • Campaign optimization based on performance data
  • Strategic planning sessions monthly or quarterly
  • Continuous monitoring and adjustment of marketing strategies

Intellectual Property

Content Ownership: All content created by Vidocraft Agency for clients remains the property of Vidocraft Agency until full payment is received. Upon full payment, clients receive non-exclusive rights to use the content for their business purposes.

Usage Rights: Vidocraft Agency retains the right to showcase client work in our portfolio and marketing materials, with client information anonymized if requested.

Third-Party Content: Clients are responsible for ensuring they have rights to any images, music, or other content provided for use in marketing campaigns.

Termination

By Client: Clients may terminate services with 30 days written notice. No refunds will be provided for the current billing cycle.

By Vidocraft: We may terminate services for non-payment, breach of terms, or unethical business practices with 7 days notice.

Effect of Termination: Upon termination, all work in progress will be delivered upon final payment, and access to managed accounts will be transferred back to the client.

Force Majeure

Neither party shall be liable for delays or failures in performance due to circumstances beyond their reasonable control, including but not limited to natural disasters, war, terrorism, strikes, government actions, or internet service provider outages.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any disputes arising from these Terms shall be resolved through arbitration in Narnaul, Haryana.
